Program Guide

The MyWhistleBox Partner Program (“Program”) is designed for individuals and entities who wish to promote the MyWhistleBox brand and earn Referral Fees. Some of the ways the Program can be promoted by Partners are via:

  • YouTube videos
  • Web based articles and reviews
  • Organization Newsletters
  • Podcasts
  • One to one email marketing

This Program Guide supplements the Partner Agreement and together governs the Program. The remainder of this guide provides additional details of the Program.

Registration

To be accepted as a Partner, individuals and entities must register via the Partner Site. The easiest way to reach the Partner Site is by clicking the Partner link at www.mywhistlebox.com. Once registered, it is recommended that new Partners visit the “Getting Started” section of the Portal and review the included material.

Partner Portal

The Partner Portal (“Portal”) is a secure area of the Partner Site provided to the Partner in order to monitor and administer his Partner account. The Portal will be available to the partner immediately after Partner enrollment using the credentials entered as part of the enrollment process.

Offer Codes

Registered Partners will promote MyWhistleBox by distributing Offer Codes to Eligible Referrals. Offer Codes can be created via the Partner Portal and are required to link a MyWhistleBox user account (“Subscriber”) to the Partner account in order for Referral Fees to be tracked and paid. Offer Codes can be distributed in the following forms.

  • URL
  • QR Code
  • Standalone

Once an Offer Code is created, it can be distributed to Eligible Referrals. To apply an Offer Code to a new Subscriber account, prior to registration, the Subscriber can enter the Offer Code URL directly into their web browser, or, click a URL link, or, scan a QR Code with a mobile device. Alternatively, the user can manually enter the standalone Offer Code at the time of sign up.

Once the Subscriber registration is completed, the Offer Code will be bound to that Subscriber account and cannot be changed.

Any number of Offer Codes may be created by the Partner at his discretion for different markets or audiences.

Partner Provided Incentives

To help convert distributed Offer Codes to Subscriber accounts, Partners can provide their own incentives by specifying percentage discounts as part of the Offer Code creation process. For example, let’s say the base referral rate is 25%. Partners can offer an incentive discount between 0 and 25% when the Offer Code is applied. The discount will be applied directly to a Subscriber purchase within the Referral Expiration Period. When calculating Referral Fees, the discounted amount will be subtracted from the base Referral Fee. Discount percentages cannot exceed the Referral Rate.

Referral Expiration Period

When the Subscriber registers with an Offer Code, the Offer Code will be set to expire 90 days from the registration date (“Expiration Period”). When the Subscriber makes any eligible purchase within that 90 day period, the Expiration Period will reset to one (1) year from the initial purchase date. Referral Fees will only be paid on purchases made within the Expiration Period.

Territory

Partners must have both a mailing address and a valid banking account in one of the following territories:

  • United States
  • Canada
  • United Kingdom
  • Israel

Eligible Services

Purchased services that are eligible for Referral Fees are all MyWhistleBox subscription plans along with any additional storage and Team members. Everything else is ineligible including, but not limited to, consulting, data recovery and Application Programming Interface (API) services.

Referral Fee

Requirements

Partners are eligible to receive a Referral Fee on any Purchase Transaction that is completed during its Expiration Period. A Purchase Transaction is considered completed if a potential customer:

  • Completes a purchase of an Eligible Service before the Expiration Period expires; and
  • Remains a paid account in good standing for at least thirty (30) days after the date of the paid services.
Commission

If a Purchase Transaction is made in accordance with the requirements above, the Partner will be paid a Referral Fee of the percentage listed below of the total moneys received for the services less any discounts as specified by the Offer Code.

Payments

MyWhistleBox will aggregate all Referral Fees earned by a Partner on a monthly basis. Payments will be made within 45 days following the end of each applicable month in which the Partner has earned the Referral Fees. Any payment which falls due on a weekend or public holiday will be due on the business day immediately preceding the weekend day or public holiday. All payments will be in US dollars and issued by direct deposit. Partner is responsible for any fees, such as wire transfer fees, charged by any intermediary banks involved in a funds transfer. Partner is responsible for providing MyWhistleBox with all banking information required to make payments via the Partner Payment Form and ensuring such information remains accurate and current. MyWhistleBox will not be responsible for any payments not received due to Partner failing to provide complete and accurate banking information.

Rates

Referral Rate 33%

Taxes

Partner will be responsible for paying all Taxes (as defined in the Partner Agreement), if any, on the Referral Fees. If MyWhistleBox is required to pay or collect any Taxes, then Partner will, upon MyWhistleBox’s invoice or written request, reimburse MyWhistleBox for these Taxes.

Offsets

If, for any reason, MyWhistleBox subsequently must refund any fees attributable to a Subscriber account for which a Partner received a Referral Fee, then MyWhistleBox will have the right to offset the amount of such Referral Fee against any future payment owed to Partner. If no additional amounts are payable by MyWhistleBox to the Partner in the next calendar quarter, then Partner agrees to refund the applicable Referral Fee amounts to MyWhistleBox within thirty (30) days of the refund invoice.

Branding Guidelines

To assist the Partner in promoting the MyWhistleBox brand, MyWhistleBox approved Branding Marks are available for download from the Partner Portal. These marks are available for the express purpose of promoting MyWhistleBox via Offer Codes to Eligible Referrals. Approved branding images are available in both png and svg formats and are designed to scale well at different resolutions.
